The terms under which a business may book flights from BEBEW AGENCY LLC for its own customers, at reseller prices.
These terms apply to businesses approved as resellers. They are a business-to-business contract: by applying, you confirm that you act for the purposes of your trade, business or profession, and not as a consumer. In these terms, “we”, “us” and “our” mean BEBEW AGENCY LLC, and “you” means the reseller.
You act as an independent business, in your own name and for your own account: you buy from us and resell to your own customers. You are not an agent, employee, partner or franchisee of BEBEW AGENCY LLC, and you cannot make commitments on our behalf. The Terms of sale apply to your bookings, except where these terms say otherwise.
The seller is:
You see “reseller prices”: our negotiated price shown on the site, reduced by a reseller discount of 3%, unless we agree on a different rate with you in writing. On some fares the discount is reduced, so that the price stays above our cost and within our maximum overall discount. The reseller price shown before you book is the price you pay. The discount may change; the rate in force when you book applies.
You set your resale price freely. You follow the price display rules of the countries where you sell (for example, showing the full final price including all mandatory taxes and fees, as required by the U.S. Department of Transportation’s full-fare advertising rule, 14 CFR 399.84, and by Article 23 of Regulation (EC) No 1008/2008 in the European Union). You may present a price comparison only as a comparison with the “observed public fare”, with the date it was observed and for identical flights.
You book from your reseller area, “for a client”, with the exact details of each traveler (names as they appear on the passport). Check the flights, names and fare conditions with your customer before you pay: the airline’s fare conditions (changes, cancellation, baggage) apply. The concierge issues the tickets after payment; they appear in your account.
You handle your customers’ requests. Send us those that require the airline (changes, cancellations, refunds of the taxes and charges of an unused ticket) through your concierge, who passes them on.
Each booking is paid online when you book, by the payment methods offered at checkout, unless we agree otherwise in writing. We provide a receipt for each booking and, on request, an invoice made out to your company.
If we agree in writing to invoice you, each invoice is payable within 30 days of its date, unless that agreement sets another period. If an amount is overdue, we may suspend new bookings and your reseller prices until it is paid, and charge interest on it at 1% per month or the highest rate the law allows, whichever is lower, plus reasonable collection costs.
You collect payment from your own customers: their failure to pay you does not release you from paying us. If a payment you made is reversed without good reason, you remain liable for the amount. You are responsible for the taxes on your own sales (for example sales tax or VAT on your service fee).
Your customers are your customers. Unless we state otherwise in writing, BEBEW AGENCY LLC is not their seller: you sell to them under your own terms, and we sell to you. The airline performs the transport under its own conditions of carriage. We may deal with a traveler directly when that is needed to perform the booking (for example for an urgent schedule change), without becoming their seller.
You are responsible for informing your customers before they buy (your identity, your license or registration where one is required, any financial protection you provide, the fare conditions, the travel documents they need) and for giving them your own terms of sale. You are responsible for your consumer law obligations in the countries where you sell, and for your customers’ payments.
You send us the travelers’ details needed to book. You confirm that you collected them lawfully and told the travelers that they are passed to us and to the airlines for their booking. Each of us acts as an independent controller of the personal data it processes (or in the equivalent role under the data protection law that applies), and complies with that law, such as the EU General Data Protection Regulation where it applies. See also the Privacy policy.
You may use the Mileo brand only with the written permission of BEBEW AGENCY LLC. You must not let anyone believe that you are Mileo or BEBEW AGENCY LLC, or that you act on our behalf. Do not buy search-engine ads on the Mileo brand, and do not create a site, domain name or account that imitates ours.
Each party is liable for its own breaches. You alone are responsible for your relationship with your customers and for the compliance of your offers. You will indemnify us against claims from your customers or from authorities that result from your offers or from your breach of these terms or of the law, including the license and consumer law obligations above.
The airlines remain responsible for the flights they operate (schedule changes, cancellations, denied boarding, baggage), under their conditions of carriage and the law. To the extent the law allows, we are not liable to you for indirect or consequential losses, such as loss of profit, business or goodwill, and our total liability for a booking is limited to the amount you paid us for that booking.
These limits do not apply to gross negligence, willful misconduct or fraud, to death or personal injury caused by negligence, or to any liability the law does not allow to be limited.
These terms apply from the approval of your application, for an indefinite period. Either party may end them by written notice (an e-mail is enough), with 30 days’ notice; bookings already made continue to be performed under these terms. In case of a serious breach (non-payment, fraud, selling without a required license, misuse of the brand), we may suspend or end your access immediately.
When we change these terms, we tell you by e-mail before the change applies. The version in force on the date of a booking applies to that booking.
Reseller prices, discounts and commercial conditions are confidential: you may not disclose them, except to your professional advisers or where the law requires it, during these terms and after they end.
If something goes wrong, write to us first at contact@example.com or by post to our registered office. We acknowledge every complaint within 7 days and answer it in writing within 30 days.
